The special meeting was called to order at 6:05 by Ben Westcott. The meeting was held virtually. In attendance were board members Bob Aubrey, Bruce Bardwell, Al Browning, Rick Burke, Don Langston, Harvey Michaels, Kim Reuse, Fred Wagner and Ben Westcott. Also in attendance were Property Managers Debbie Reinhart, Bruce Reinhart and Austin Reinhart. Ben asked each board member whether they could hear and be heard, all acknowledged that they could. Ben reported that the meeting had been properly noticed – notice of the meeting, along with the meeting agenda, was emailed to all property owners at least 72 hours prior to the meeting.

The first agenda item was the Beachside Village Builder Regulations document that Fred and Debbie had been working on for a couple of months. Debbie gave a few brief comments about the regulations. She reported that over the past few years, the amount of construction in the neighborhood had grown to such a level that it was becoming more and more difficult to manage. The regulations provide clarity in some areas of construction, new rules in other areas of construction and fines that can be levied for non-compliance. Fred made a motion to approve the builder regulations, Bruce Bardwell seconded the motion. The motion passed unanimously.

The second agenda item was the proposed 2023 Budget. Ben asked Debbie to give a few comments about the budget history. Debbie reported that the HOA budget is there to meet the expectations of the property owners as that relates to the quality of the neighborhood. She reported that the quarterly maintenance fee has been increased every 4-5 years. The last quarterly increase was in 2019. Over the past 5 years, the HOA has achieved 92% of the budgeted revenue and similarly has spent 92% of the budgeted expenses. The proposed 2023 budget included a $45/quarter increase for all properties. The new Builder Regulations added a $500 Project Fee for all projects beginning after January 1, 2023 and that was added to the 2023 revenue. The board also increased the Rental Registration Fee from $100 to $500/year and this is also reflected in the 2023 revenue. Both the new Project Fee and Rental Registration Fee were added to offset some of the costs of the neighborhood security. Harvey made a motion to approve the 2023 Budget. Bruce Bardwell seconded the motion. Ben, Bob, Bruce, Harvey, Rick and Don voted to approve the budget. Kim, Fred and Al voted to not approve the budget. The motion passed (6-3) and the budget was approved.

Al presented proposed language (two options) for a change to the Bylaws. Both options would require that all board members be property owners in Beachside Village and if the board member sold his/her property, they would be required to resign as a board member. The first option would require the board member to resign immediately. The second option would require the board member to resign within 90 days or at the next board meeting, whichever is later. Al made a motion to approve Option 1 and Kim seconded the motion. Fred, Al and Kim voted in favor with Harvey, Rick, Ben, Bruce and Don voting against the motion. Bob abstained. The motion failed (3-5-1). Bob made a motion to approve the second option and Fred seconded the motion. Don asked the motion to be amended to make the Bylaw amendment effective on January 1, 2023. Bob withdrew his original motion to approve Option 2. Don made a motion to approve Option 2 such that it would become effective January 1, 2023. Bruce seconded the motion. The motion passed unanimously.

Bruce Bardwell made a motion to adjourn the meeting. This was seconded by Don. The motion passed and the meeting was adjourned.
